Terms of Service

These terms govern your use of CanopyProof, a product of Talivio Technology OÜ (registry code 16991406), Ahtri tn 12, Kesklinna linnaosa, Tallinn, Harju maakond, 15551, Estonia. By creating an account or using the service you agree to them.

1. The service

CanopyProof helps small importers collect supplier geolocation, screen it against deforestation data and prepare and submit due diligence statements to the EU TRACES system. It is compliance tooling, not legal advice. The service is intended for business and professional use, not for consumers.

CanopyProof is a technical tool. Talivio Technology OÜ does not act as your authorised representative under Article 6 of the EU Deforestation Regulation unless a separate written mandate is executed and expressly accepted by Talivio in writing. You remain solely responsible for your own obligations under the Regulation, including your obligations as an operator or trader under Article 3.

2. Your account

You must provide accurate information, keep your credentials secure and are responsible for activity under your account. You must have the right to submit any supplier or plot data you enter.

3. Screening is an indication, not a guarantee

Deforestation screening uses open data to give a risk indication to support your due diligence. It does not certify that goods are deforestation-free and does not replace your own assessment. You are responsible for verifying results before relying on them.

4. TRACES submissions

Statements are submitted to TRACES under your own operator credentials and identity. You are responsible for the accuracy and lawfulness of what you submit.

If you prepare or submit statements on behalf of another operator — for example as an authorised representative or agent under Article 6 EUDR — you confirm that you hold a valid mandate from that operator, that you are entitled to share its data with us, and that responsibility under the EUDR is allocated between you and that operator as the regulation provides. We are not a party to that mandate and do not become your or the operator's authorised representative by providing the service.

5. Fees and billing

Paid plans are billed in advance on a recurring basis through Stripe. You can upgrade, downgrade or cancel at any time; changes take effect according to your billing cycle. Fees already paid for the current period are non-refundable unless required by law.

6. Acceptable use

You may not misuse the service, submit knowingly false data, attempt to disrupt or gain unauthorised access to it, or use it in breach of applicable law.

7. Intellectual property and your data

We own the CanopyProof platform and its content. You retain ownership of the data you enter; you grant us the rights needed to host and process it to provide the service. Where that data includes personal data of others (such as supplier contacts and plot geolocation), we process it as your processor as described in the Privacy Policy; we will, on request, enter into a GDPR Article 28 data processing agreement with business customers, available at [email protected].

8. Availability

We aim to keep the service available but provide it "as is" and "as available" without warranty of uninterrupted, error-free or secure operation. The service also depends on third-party systems we do not control — including TRACES, the Whisp screening service and Stripe — and we are not responsible for their availability, for changes they make, or for their decisions (such as the acceptance or rejection of a statement).

9. Limitation of liability

To the fullest extent permitted by law, Talivio Technology OÜ is not liable for indirect, incidental or consequential losses or loss of profit, or for regulatory penalties arising from your compliance decisions. Our total aggregate liability under these terms is limited to the fees you paid us in the twelve months before the event giving rise to the claim, or, if you use the service free of charge, to EUR 100. This limitation does not apply to liability that cannot be limited under mandatory law, including liability for intent (wilful misconduct) or gross negligence, for death or personal injury, or under mandatory consumer-protection law.

10. Termination

You may stop using the service and close your account at any time. We may suspend or terminate access for breach of these terms. You can export your records so you keep your five-year trail.

11. Governing law

These terms are governed by the laws of Estonia, excluding its conflict-of-laws rules and the UN Convention on Contracts for the International Sale of Goods (CISG). The courts of Estonia (Harju Maakohus, Tallinn) have exclusive jurisdiction. Nothing in this clause deprives you of the protection of mandatory provisions of the law of your country of habitual residence or establishment that cannot be derogated from by agreement.

12. Changes to these terms

We may update these terms; continued use after an update means you accept the revised terms. The date at the top shows when they last changed.
